Prospectus is a document in which a company invites the public to purchase it’s shares .It is a legal document issued by the Company,if the company has not issued the prospectus on its formation then it must file a statement instead of prospectus with the Registrar of companies as it provides the information as in prospectus . Prospectus may be dated and signed by all the Directors and Agents of the Company.

Section 57 of the Companies Act,2017 deals with the Prospectus.
Contents of Prospectus:
According to Schedule II of the Companies Act 2017:
1.Name and address of company.
2.Objects of the Company.
3.Full Particulars of shareholders of company.
4.Name,Occupation and address of Directors and their salaries.
5.Name and address of the Auditors and their salaries.
6.Share Capital and information about shares and it’s value.
7.Financial information about funds, expenses and report of Auditors.
8.Voting rights of shareholders.
9.Tax exemption information if any.
10.Place of registered office.
